1. Who we are

The GulfGrid platform, available at https://gulf-grid.com (the "Site") together with all related services (collectively, the "Platform"), is operated by KIMY TECHNOLOGY (F.Z.E), a company registered with Ajman Free Zone, United Arab Emirates, under license no. 36077, with its address at Office C1-1F-SF3283, Ajman Free Zone C1 Building, Ajman Free Zone, Ajman, United Arab Emirates ("GulfGrid", "we", "us").

2. Purpose of the Platform — listing and connection only

GulfGrid is a classifieds marketplace dedicated to motorsports (vehicles, motorcycles, jet skis, quads, parts, equipment, sim racing, and related services and events) covering the countries of the Gulf Cooperation Council ("GCC").

GulfGrid provides only a listing and connection service between sellers and buyers. GulfGrid:

• is never a party to any transaction concluded between users;
• does not sell, buy, hold, ship, import or export any listed item;
• does not act as agent, broker, commission agent, custodian or insurer for any user;
• does not provide any escrow, warranty or after-sales service for listed items;
• does not verify and does not guarantee the accuracy of listings, the condition of items, or the ability of users to sell or buy.

3. Acceptance of the Terms

By accessing the Platform, creating an account or publishing a listing, you accept these Terms of Use (the "Terms"), which include their schedules: Schedule A (Motors Terms), Schedule B (Boutique Pro) and Schedule C (Acceptable Use Policy). If you do not accept the Terms, do not use the Platform.

4. Changes to the Terms

We may amend the Terms at any time. The version in force is the one published on the Site with its update date. For material changes, we will inform you by reasonable means (email, banner on the Site) at least fifteen (15) days before they take effect. Using the Platform after that date constitutes acceptance.

5. Eligibility

To use the Platform, you must:

• be at least 18 years old and have legal capacity to contract;
• reside in a GCC country or have the right to sell there the items you list;
• not have been previously suspended or banned from the Platform.

6. User account

An account is required to publish listings. You agree to:

• provide accurate, complete and up-to-date information (including a valid phone number) and keep it current;
• create only one personal account (unless GulfGrid agrees otherwise in writing);
• keep your credentials confidential: any activity carried out from your account is deemed carried out by you;
• notify us without delay at contact@gulf-grid.ae of any unauthorised use of your account.

We may require verification (email, phone or otherwise) before enabling certain features, including publishing listings.

7. Free and paid services

Browsing listings is free. GulfGrid offers paid services, including listing packages (number of ads, duration, featured ads, bump-ups), ad promotion options, and the Boutique Pro subscription (see Schedule B).

Prices are displayed in United Arab Emirates dirhams (AED), inclusive of applicable taxes, on the Packages page. We may change prices at any time; changes do not apply to services already paid for.

8. Payment and refunds

Payments are processed by our payment provider (currently Stripe). GulfGrid does not store your card details.

Paid services are provided upon payment. Except where mandatory law provides otherwise, amounts paid are non-refundable once the service has been activated (a package used even partially, a promotion started, a subscription period begun).

9. Publishing listings

Each listing must:

• relate to a real, available and lawful item or service within the motorsports categories covered by the Platform;
• be published in the appropriate category, once only (no duplicates);
• describe the item accurately: condition, defects, mileage where relevant, and registration status for vehicles (see Schedule A);
• use real photos of the item for sale (no stock photos presented as real);
• state a genuine price and the item's actual location.

Listings expire according to the duration of the chosen package. We may reject, re-categorise, suspend or remove any listing that does not comply with the Terms, without compensation, with notice where reasonable.

10. User content and licence

You remain the owner of the content you publish (text, photos, videos — the "Content"). By publishing it, you grant GulfGrid a worldwide, non-exclusive, royalty-free and transferable licence to host, reproduce, adapt (cropping, compression, watermarking), translate, publish and distribute that Content, solely for the purposes of operating, promoting and improving the Platform, for the duration of the listing and a reasonable period thereafter (archives, caches, promotional material already produced).

You warrant that you hold all rights in the Content you publish and that it does not infringe any third-party rights (intellectual property, image, privacy).

11. Prohibited uses

The detailed rules are set out in Schedule C (Acceptable Use Policy). In summary, the following are prohibited: fraudulent or misleading listings, stolen or unlawful items, content contrary to the public order or morals of the United Arab Emirates, spam, harvesting other users' data, circumventing the Platform's technical measures, and any use that diverts the Platform from its listing-and-connection purpose.

12. Transactions between users

Every transaction takes place directly and exclusively between seller and buyer, who alone determine and bear its terms (price, payment, handover, transfer of ownership, registration, any warranties).

It is your responsibility to take the usual precautions: inspect the item before purchase, verify ownership documents, complete transfer formalities with the competent authorities of your country, and prefer secure payment methods. GulfGrid takes part in none of these steps.

Any dispute relating to a transaction must be resolved between the users concerned. We may, without being obliged to, provide assistance (e.g. providing information upon lawful request by the authorities).

13. GulfGrid intellectual property

The Platform, the GulfGrid brand, logos, visual identity, texts, software and databases are the property of GulfGrid or its licensors. No rights are transferred to you other than a personal, non-exclusive and revocable right to use the Platform in accordance with the Terms. Any substantial extraction of the listings database (scraping) is prohibited.

14. Personal data

The processing of your personal data is described in our Privacy Policy, available on the Site.

15. Platform availability — no warranty

The Platform is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, or that the Platform will meet your needs. We may temporarily suspend the Platform for maintenance, updates or security reasons. To the fullest extent permitted by law, we disclaim implied warranties of merchantability and fitness for a particular purpose.

16. Limitation of liability

Except in cases of fraud, wilful misconduct, gross negligence, or death or personal injury resulting from our negligence, our total liability to you for any damage connected with the use of the Platform is limited to the total amounts you have paid to GulfGrid in the twelve (12) months preceding the event giving rise to the claim.

Within the same limits, GulfGrid is not liable for: the acts or omissions of other users; the content of listings; transactions concluded (or not concluded) between users; indirect damages (loss of profit, opportunity, data or reputation).

Nothing in the Terms excludes any liability that cannot be excluded under the mandatory laws of the United Arab Emirates.

17. Indemnity

You agree to indemnify GulfGrid against any third-party claim, damage, fine and reasonable costs (including legal fees) arising from your Content, your breach of the Terms or of the law, or your transactions with other users.

18. Suspension and termination

By you: you may close your account at any time by writing to contact@gulf-grid.ae. Closing your account does not entitle you to any refund of paid services (see section 8).

By us: we may suspend or delete your account and/or your listings, with immediate effect in the event of a serious breach (fraud, unlawful items, threat to the security of the Platform) or after notice remaining without effect for other breaches. Sections 10, 13, 16, 17, 19 and 20 survive termination.

19. Governing law and jurisdiction

The Terms are governed by the federal laws of the United Arab Emirates and the applicable laws of the relevant Emirate. Any dispute relating to the Terms or the Platform is subject to the exclusive jurisdiction of the Dubai Courts, without prejudice to mandatory jurisdiction rules on consumer protection.

20. Languages

The Terms are published in English and French. In the event of any discrepancy, the English version prevails.

21. Miscellaneous

• Entire agreement: the Terms (with their schedules) constitute the entire agreement between you and GulfGrid regarding the Platform.
• Severability: if any provision is held invalid, the remaining provisions remain in force; the invalid provision is replaced by a valid provision of equivalent effect.
• No waiver: failure to exercise a right does not constitute a waiver of that right.
• Assignment: you may not assign your rights under the Terms. GulfGrid may assign them to a group entity or a successor, with notice to users.
